1. About HoudaX

HoudaX is a subscription service for building, hosting, and maintaining e-commerce websites for brands operating primarily in Egypt. The service is provided by Mahmoud Adel Talaat Mohamed, an individual sole proprietor operating from New Cairo, First Settlement, Cairo, Egypt ("Provider", "we", "us"), reachable at Support@houdax.com or WhatsApp +20 101 122 5822.

References below to "Client", "you", or "your" mean the individual or business entity that registers for and uses HoudaX.

By registering an account or paying for the service, you agree to be bound by these Terms of Service, our Privacy Policy, and our Refund and Cancellation Policy, all of which together form the "Agreement" between you and the Provider.

2. What HoudaX Provides

HoudaX provides:

(a) a subscription-based service to build and deliver an e-commerce website for your brand, hosted at a subdomain of a domain nominated by the Provider or, where you provide one, your own custom domain;

(b) a customer-facing website that you customize through an administrative panel (products, categories, pricing, branding, content, images, and configuration);

(c) hosting, maintenance, ongoing updates, and technical support for the delivered website as long as your subscription is active;

(d) a client portal for you to manage your subscription, view invoices, and open support tickets.

3. What HoudaX Does Not Provide

Notwithstanding anything you may infer from marketing materials:

(a) HoudaX does not process end-customer payments on your behalf. Payment gateways (such as Paymob) integrated into your store are contracted directly between you and those providers, under their own terms.

(b) HoudaX does not fulfill orders, handle shipping, or manage returns for your store's end customers. These are entirely your responsibility.

(c) HoudaX makes no guarantee that your store will generate a particular volume of sales, traffic, or revenue.

(d) HoudaX does not review, verify, or moderate the products, images, or content you upload to your store. You are solely responsible for the legality, accuracy, and appropriateness of what you publish.

4. Your Account

To use HoudaX, you must register with your name, phone number, email address, and a chosen brand name (which forms your store's subdomain). By registering, you confirm that:

(a) you are at least 18 years old and legally capable of entering binding agreements;

(b) the information you provide is accurate, current, and complete;

(c) you will keep your account credentials confidential and are responsible for all activity carried out under your account;

(d) you will notify us promptly at Support@houdax.com if you suspect unauthorized use.

We may refuse, suspend, or terminate an account where the registration information appears false, misleading, or where the requested subdomain is inappropriate, offensive, or infringes another party's rights. We may also refuse registration entirely at our discretion.

5. The Free First Month

New Clients receive one calendar month of service at no charge, beginning on the date the account is verified. No payment method is required to activate the free month. You may cancel at any time during the free month with no charge.

If you continue past the free month, your subscription begins billing immediately from the day after the free month ends, at the rates then in effect for your selected plan.

6. Subscriptions, Billing, and Renewal

6.1 Billing cycles. Subscriptions are billed in advance, either monthly or annually, in Egyptian Pounds (EGP), based on the plan you select.

6.2 Payment methods.

(a) Card (Paymob). If enabled and you save a card, we authorize Paymob to charge your card automatically on each renewal date. Card details are tokenized by Paymob and are never stored on our servers.

(b) Instapay (manual). You may pay by bank transfer via Instapay to the account details we provide. You must confirm the payment through the client portal, after which we verify receipt in our bank statement and manually confirm the payment in your account. Payment is not considered received until such confirmation.

6.3 Automatic renewal. Subscriptions paid by card renew automatically at the end of each billing period unless cancelled before the renewal date. By saving a card, you expressly authorize this automatic renewal.

6.4 Failed or delinquent payment. If a card charge fails, we will retry over the following days and notify you to update your payment method. If payment remains outstanding, your subscription will move into an overdue status, and after a grace period we may, at our discretion and after prior notice, suspend the public availability of your website until payment is resolved. Resumption of payment restores your subscription without a reactivation fee.

6.5 Price changes. We may change the prices of our subscription plans. Any price change will take effect at your next renewal after we have provided at least thirty (30) days' notice by email. Continued use after the notice period constitutes acceptance of the new price.

6.6 Plan changes. You may upgrade or downgrade your plan at any time. Plan changes take effect at your next renewal date. No pro-ration is provided for mid-cycle changes.

6.7 Taxes. Prices displayed are inclusive of applicable taxes unless stated otherwise. Any additional taxes or duties required by Egyptian law are your responsibility if not already included.

7. Cancellation

You may cancel your subscription at any time through your dashboard or by contacting Support@houdax.com. Cancellation takes effect at the end of your current paid billing period. You retain full access to the service until that date.

8. Refunds

Refunds are governed by our separate Refund and Cancellation Policy, which forms part of this Agreement.

9. Your Content and Data

9.1 Your ownership. You retain all ownership rights in the content you upload to your store — including product data, images, descriptions, brand assets, and your end customers' personal data. Nothing in this Agreement transfers ownership of that content to the Provider.

9.2 License to us. You grant the Provider a limited, non-exclusive license to host, store, back up, display, and technically process your content solely for the purpose of providing the service to you.

9.3 Your responsibilities. You are solely responsible for:

(a) the legality of the products and content you offer on your store;

(b) obtaining all rights, licenses, consents, and permissions needed for the images, text, trademarks, and other content you upload;

(c) compliance with Egyptian consumer protection law, taxation law, and any sector-specific regulations applicable to what you sell (for example, cosmetics, food supplements, or medical products);

(d) the accuracy of product descriptions, prices, availability, and delivery terms shown on your store;

(e) all customer service, order fulfillment, returns, and dispute resolution with your end customers.

10. Prohibited Uses

You may not use HoudaX or your store to:

(a) sell or distribute products or content that are illegal under Egyptian law;

(b) infringe copyright, trademarks, or other intellectual property rights;

(c) sell counterfeit goods;

(d) publish adult sexual content, content that promotes violence, discrimination, or hate;

(e) deceive customers about product identity, origin, or price;

(f) attempt to interfere with, reverse-engineer, or overload the HoudaX platform;

(g) attempt to gain unauthorized access to accounts or data belonging to other Clients.

We may suspend or terminate an account that violates these prohibitions, without notice where the violation is serious.

11. Intellectual Property

11.1 The HoudaX platform. All rights in the HoudaX brand, name, logo, software, source code, documentation, and administrative interfaces belong to the Provider. Nothing in this Agreement grants you any right, title, or license in these except the right to use the service during your active subscription.

11.2 Your delivered website. You receive the right to operate the website delivered to you for your commercial use during your subscription. Underlying platform code, templates, and infrastructure remain the property of the Provider.

11.3 Portability upon termination. Upon termination, we will, at your reasonable request and subject to any outstanding fees, provide a one-time export of your uploaded content (products, images, customer list) in a common format. We do not provide the underlying platform source code.

12. Data Protection

Your personal data and your Clients' data are handled in accordance with our Privacy Policy, which forms part of this Agreement and details our practices under Egyptian Law No. 151 of 2020.

13. Service Availability and Support

13.1 Reasonable effort. We aim to keep your website and the client portal available and responsive at all times. We do not guarantee uninterrupted or error-free service. Scheduled maintenance, third-party outages (including hosting, DNS, payment gateway, and email providers), and force majeure events may cause temporary unavailability.

13.2 Support. Support is provided through the ticket system inside your client portal and via WhatsApp at +20 101 122 5822, during our stated business hours. We aim to respond to support inquiries within one business day.

14. Suspension and Termination by Us

We may suspend or terminate your account, without refund, if:

(a) any payment remains unpaid after our reminder and grace-period process;

(b) you materially breach these Terms, the Refund Policy, or the Privacy Policy;

(c) you violate the Prohibited Uses section;

(d) we are required to do so by Egyptian law, court order, or a lawful request by a competent authority.

Where feasible we will provide prior notice; where the breach is serious (for example, illegal content, security threat), we may suspend immediately.

15. Termination by You

You may terminate this Agreement at any time by cancelling your subscription. After termination, the retention and deletion of your data are governed by the Privacy Policy and by Egyptian tax and commercial law (which require the Provider to retain certain financial records for the periods those laws require).

16. Disclaimers

To the maximum extent permitted by Egyptian law:

(a) HoudaX is provided "as is" and "as available";

(b) we make no warranty that the service will meet any specific business objective, that your store will generate any level of sales, or that any technical component will be free of defects;

(c) we do not warrant the accuracy, completeness, or availability of any third-party service integrated into your store (payment gateway, shipping provider, analytics provider), whose performance is governed by their own terms.

17. Limitation of Liability

To the maximum extent permitted by Egyptian law, the Provider's total aggregate liability to you under this Agreement, for any and all claims arising over any twelve (12) consecutive months, shall not exceed the amount actually paid by you to the Provider under this Agreement in the three (3) months immediately preceding the event giving rise to the claim.

The Provider shall not be liable for any:

(a) loss of profits, revenue, or expected savings;

(b) loss of business opportunity or goodwill;

(c) loss or corruption of data beyond the Provider's most recent backup;

(d) indirect, incidental, consequential, or special damages;

(e) damages arising from a third-party service (payment gateway, hosting infrastructure, shipping provider, telecommunications), except to the extent the Provider was independently negligent.

Nothing in this section limits liability that cannot be limited under mandatory Egyptian law, including liability for gross negligence, fraud, or willful misconduct.

18. Indemnification

You agree to indemnify and hold the Provider harmless from any claim, demand, or damage — including reasonable legal fees — arising out of:

(a) content you upload to your store (including infringement, illegality, or defamation claims);

(b) products you sell through your store (including product liability, safety, or consumer protection claims by your end customers);

(c) your breach of these Terms;

(d) your violation of applicable Egyptian law.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be published with a new version number. When we publish a new version, you will be asked to review and accept the updated Terms the next time you log in. Continued use of the service after acceptance constitutes agreement to the updated Terms.

We keep an audited record of the version of the Terms each Client accepted and the date and time of acceptance.

20. Notices

We will send notices to you at the email address associated with your account. You are responsible for keeping that email address current. Notices to us must be sent to Support@houdax.com.

21. Assignment

You may not assign or transfer your rights under this Agreement without our prior written consent. We may assign this Agreement to a successor entity as part of a business reorganization or sale, provided your rights are not diminished.

22. Force Majeure

Neither party is liable for failure or delay in performance caused by events beyond that party's reasonable control, including internet outages, third-party infrastructure failures, natural disasters, war, civil unrest, or governmental action.

23. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Arab Republic of Egypt. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Cairo, Egypt.

24. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable while preserving the parties' original intent.

25. Entire Agreement

These Terms, together with the Privacy Policy and the Refund and Cancellation Policy, constitute the entire Agreement between you and the Provider regarding the service, and supersede any prior discussions, proposals, or representations.
